This RECIPROCAL BUSINESS ASSOCIATE AGREEMENT (“Agreement”) is entered into on the day of , 2018 (“Effective Date”), by and between [INSERT VLC/LEAD ENTITY NAME] (“VLC”), with its principal office located with an address at [Insert Address] and [INSERT ENTITY NAME] (“Subcontractor”), with an address of [Insert Address], each a “Party” and collectively the “Parties”. This Agreement applies to the extent the federal Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), and its implementing regulations, and the federal Health Information Technology for Economic and Clinical Health Act (“HITECH Act”), and its implementing regulations, apply to VLC and Subcontractor. Nothing in this Agreement shall be construed to expand the applicability of HIPAA or the HITECH Act, and the implementing regulations, to the Parties hereto.
