SALE AGREEMENT (“First Amendment and Purchase Agreement”) is made this 10th day of September, 2024 (the “Effective Date”), by and between THE TOWNSHIP OF WEST ORANGE, NEW JERSEY, a public body corporate and politic of the State of New Jersey with offices at 66 Main Street, West Orange, New Jersey 07052 (“Seller” or the “Township”), and MDGA – WEST ORANGE DOWNTOWN REDEVELOPMENT, LLC, a New Jersey limited liability company with offices at 3 Centre Drive, Monroe, New Jersey 08831 (“Purchaser” or “Redeveloper”). Purchaser and Seller are herein individually referred to as a “Party” and collectively as the “Parties”.
