WHEREAS, LURA and the Developer are parties to the Redevelopment and Reimbursement Agreement dated March 16, 2023, as amended by that certain First Amendment to the Redevelopment and Reimbursement Agreement with Developer dated December 14, 2023 (the “Agreement”), relating to the public finance structure made available to Developer with respect to property owned by Developer in the Town of Lyons; the respective roles and responsibilities of LURA and the Developer to finance, develop and construct the various components of a development project on the property; and the timetable for implementation of certain incentives and the financing and construction of such development project, all as more particularly described therein. Capitalized terms used but not defined herein shall have the meanings given to such terms in the Agreement.
