THIS REFORMULATION AND NEW PRODUCT AGREEMENT is made as of August 22, 2002 (the “Effective Date”), by and between CYPRESS BIOSCIENCE, INC., a Delaware corporation (“Cypress”), having a principal place of business at 4350 Executive Drive, Suite 325, San Diego, California 92121, and COLLEGIUM PHARMACEUTICAL, INC., a Delaware corporation (“Collegium”), having a principal place of business at 349 Lincoln Street, Hingham, Massachusetts, 02043. Cypress and Collegium may be referred to herein individually as a “Party” and collectively as the “Parties.”
