COVENANTS (as supplemented and amended from time to time, this “Regulatory Agreement”) is made and entered into as of October 1, 2014, by and among the CITY OF SAN JOSE, CALIFORNIA, a municipal corporation and charter city organized and existing under its Charter and the laws of the State of California (together with any successor to its rights, duties and obligations, the “Issuer”), WILMINGTON TRUST, NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America, as trustee (together with any successor thereto, the “Trustee”) under the Indenture (as hereinafter defined), and PARKVIEW SENIOR EAH II, L.P., a California limited partnership (together with any successor to its rights, duties and obligations hereunder and as lessee of the Project identified herein, the “Owner”).
