This Reimbursement Agreement; General Security Agreement (this “Agreement”) is entered into as of April 9, 2010 (“Effective Date”) by and between SCYNEXIS, Inc., a Delaware corporation (“Debtor”), and sanofi-aventis, a French Société Anonyme (“Secured Party”).
