Subject Meaning 1. Parties SellerPoseidon Resources (Surfside) LLC (“Seller”). Seller is a special purpose project company established and controlled by Poseidon Water LLC. BuyerOrange County Water District (“Buyer”). Together, the “Parties.” 2. Plant A reverse osmosis seawater desalination plant, including the seawater intake, concentrate disposal facilities, product water pump station (“Product Water Pump Station”), and appurtenant facilities to be located on a site adjacent to the AES Huntington Beach Generating Station (“Plant”), capable of delivering a baseload of 56,000 acre-feet/year of desalinated water (“Product Water”) to the boundary of the Plant site (“Delivery Point”) consistent with the Subsequent Environmental Impact Report (SEIR). 3. Delivery Point The Delivery Point is defined as the boundary between the Plant and the Delivery System, currently expected to be the edge of the Plant site at Newland Street.
