THIS SECOND AMENDED AND RESTATED REIT/REOC WAREHOUSE AGREEMENT (this “Agreement”), dated as of December 7, 2005, is made by and between Merrill Lynch International, a company organized under the laws of England and Wales (“MLI”) and Taberna Funding, LLC, a Delaware limited liability company (“Taberna”) and amends and restates in its entirety that certain Warehouse Agreement dated and effective as of June 30, 2005 (the “Effective Date”) by and between MLI and Taberna, which amendments and other modifications made hereby are effective as of and from the Effective Date,
