AGREEMENT (as amended from time to time, this “Agreement”), dated as of [●], 2019 (the “Effective Date”) by and among [New Blackhawk], LLC, a Delaware limited liability company (the “Company”), each Person listed on the Schedule of Members attached hereto as Schedule I and each Person subsequently admitted as a Member of the Company as a result of the execution and delivery to the Company of a joinder to this Agreement substantially in the form attached hereto as Exhibit A (a “Joinder”), in accordance with the terms hereof is effective as of the date hereof.
