THIS AMENDED AND RESTATED SPLIT-DOLLAR AND DEFERRED COMPENSATION REPLACEMENT BENEFIT AGREEMENT (the “Agreement”) is made and entered into as of the th day of December, 2005, and shall be effective as of November 1, 2005 (the “Effective Date”), by and between COCA-COLA BOTTLING CO.
