THIS RESEARCH SUBSCRIPTION AGREEMENT (the “Agreement”), effective as of February 8, 2002 (the “Effective Date”), is entered into between DELTAGEN, INC., a Delaware corporation with a place of business at 740 Bay Road, Redwood City, CA 94063, U.S.A. (“Deltagen”), and MERCK & CO., INC., a New Jersey corporation with a place of business at One Merck Drive, P.O. Box 100, Whitehouse Station, New Jersey 08889-0100 (“Merck”). Deltagen and Merck are sometimes referred to herein individually, as a “Party” and collectively, as the “Parties.”
