This Resignation Agreement and Release of Claims (this “Agreement”) is made by and between Kevin M. Klemz (“Executive”) and Tornier, Inc. (“Tornier” or the “Company”), a Delaware corporation and wholly-owned subsidiary of Tornier N.V., a public company with limited liability (naamloze vennootschap) organized under the laws of The Netherlands (“Tornier N.V.”). Executive and the Company are referred to individually as “Party” and collectively referred to as “Parties” in this Agreement.
