Whereas American Lithium Minerals Inc. ("AMLM") and BG Capital Group Ltd. ("BG Capital")have entered into an Investment Agreement dated August 9. 2011(the “Investment Agreement”); and whereas, further to our recent discussions and in light of the current financial issues faced by to the Corporation, we wish to restate the terms of the Investment Agreement as set out below.
