WHEREAS, a certain Restoration Retirement Plan Agreement (the “Agreement”) was entered into on the 7th day of December, 2000, by and between FLEXSTEEL INDUSTRIES, INC., a Minnesota Corporation (the “Corporation”) and K. Bruce Lauritsen, Edward J. Monaghan, James R. Richardson, Thomas D. Burkart, Ronald J. Klosterman, Patrick M. Crahan, Jeffrey T. Bertsch, James E. Gilbertson and Timothy E. Hall (collectively, “Employees” and individually, “Employee”); and
