(“TCBI”), which is the holding company of Texas Capital Bank, N.A. (“TCB”) (TCBI and TCB collectively, the “Company”), and John Hudgens (“Executive”). The Company and Executive are referred to herein individually as a “Party” and collectively as the “Parties.” WHEREAS, Executive has been employed by the Company as Chief Risk Officer of TCB and TCBI; WHEREAS, Executive and the Company entered into the Amended and Restated Executive Employment Agreement dated December 18, 2014 (“Employment Agreement”), a copy of which is attached hereto as Exhibit A and which, except for the Surviving Provisions set forth below, shall terminate as of August 31, 2019 (the “Separation Date”); WHEREAS, Executive and the Company entered into (i) that certain P

This Retirement Transition and Award Agreement (“Agreement”) is entered into by and between Texas Capital Bancshares, Inc. (“TCBI”), which is the holding company of Texas Capital Bank, N.A.
