This CERTIFICATE PURCHASE AGREEMENT (“Agreement”) is dated as of ______________________ and is by and between THE NARRAGANSETT ELECTRIC COMPANY d/b/a “National Grid”, a Rhode Island corporation (“Buyer”) and ____________________________a _____________ Corporation (“Seller”). This Agreement provides for the sale by Seller of NEPOOL-GIS Certificates, as defined herein, to Buyer. The Buyer and Seller are referred to herein individually as a “Party” and collectively as the “Parties”.
