This Agreement shall immediately terminate and have no force and effect in the event of a termination of the Stock Purchase Agreement pursuant to Section 8.1 thereof. In the event of a delay in Closing beyond December 31, 2015, the Parties agree to cooperate in good faith to: (a) revisit the invoicing provisions contained in Section 4 to ensure a smooth and fair final invoicing process; and (b) adjust the obligations of SJCC and the Utilities under the UG-CSA and this Agreement, as may be necessary and appropriate.
