THIS THIRD AMENDED AND RESTATED SATELLITE PURCHASE CONTRACT (this “Contract”) is made and entered into as of the 15th day of May 2001, by and between XM SATELLITE RADIO INC., a Delaware corporation with its principal offices located at 1500 Eckington Place, NE, Washington, D.C. 20002 (formerly named American Mobile Radio Corporation and hereinafter referred to as “Customer”), and BOEING SATELLITE SYSTEMS INTERNATIONAL, INC., a Delaware corporation with its principal offices located at 2260 E. Imperial Way, El Segundo, California 90245, U.S.A. (formerly named Hughes Space and Communications International, Inc. and hereinafter “Contractor”). As used in this Contract, “Party” means either Customer or Contractor, as appropriate, and “Parties” means Customer and Contractor.
