This SATISFACTION AND RELEASE (this "Agreement") is made by and between Charlie’s Holdings, Inc., a Nevada corporation (“Holdings”), Charlie’s Chalk Dust, LLC, a Delaware limited liability company (“Chalk Dust”), and Don Polly LLC, a Nevada limited liability company (“Don Polly”, and together with Holdings and Chalk Dust, individually and collectively, “Company”), on the one hand, and Red Beard Holdings, LLC, a Delaware limited liability company (the “Lender”) on the other.
