This Second Amended Pledge Agreement (the "Pledge Agreement"), dated as of December 12, 2022, is made between PMI Global Services Inc., a Delaware corporation ("Pledgor"), and Foundation for a Smoke-Free-World, Inc., a non-profit, non-stock Delaware corporation (the "Foundation"), jointly referred to in this Pledge Agreement as the "Parties" and each a "Party." This Amended Agreement replaces and supersedes the original Pledge Agreement entered into on January 9th, 2018, and the Amended Pledge Agreement entered into on September 28, 2020, between the Parties.
