This Second Amendment to Agreements (the "Agreement") is made and entered into by and between Datatek Group Corporation, a Texas corporation formerly known as Datatek Consulting Group Corporation ("Buyer"), Diversified Corporate Resources, Inc., a Texas corporation (herein referred to as either "DCRI" or the "Company"), Datatek Corporation, a Delaware corporation ("Seller"), Julia L.
