This Loan Agreement and Promissory Note (this “Agreement”), dated as of October 15, 2003 (the “Closing Date”), is entered into by Prostate Centers of America, LLC, a Georgia limited liability company (collectively, the “Borrower”), in favor of North American Scientific, Inc., a Delaware corporation (“Lender”), in order to permit Borrower to obtain certain loans (individually, a “Loan” and collectively, the “Loans”) from Lender from time to time on the terms and subject to the conditions set forth in this Agreement.
