This Secured Promissory Note and Stock Purchase Agreement (this “Agreement”) is entered into on December 22, 2014 (the “Effective Date”) by and between White Mountain River, Inc., a Texas corporation (“White Mountain”) and SearchCore, Inc., a Nevada corporation (“SearchCore” and, together with White Mountain, each a “Seller” and collectively the “Sellers”), on the one hand, and ___________________ (the “Purchaser”), on the other hand.
