This Brightspeed Security Addendum for Vendors and Third-Party Representatives (“Security Addendum”) is incorporated by refence into and forms part of the Master Purchase Agreement (“MPA”), Master Services Agreement (“MSA”), Master Representative Agreement (“MRA”), Statement of Work (“SOW”), or Service, Product, or Purchase Order (“Order”) (together with any appendices, exhibits, annexes, or amendments thereto, the “Agreement”) executed between Connect Holding II LLC d/b/a Brightspeed or the Brightspeed Affiliate identified in the Agreement (“Brightspeed”) and the vendor, service provider, contractor, third-party representative, or supplier (“Representative” or “Supplier”) indicated in the applicable Agreement and is effective as of the effective date of the Agreement. Brightspeed enters into this Security Addendum on its own behalf and on behalf of its Affiliates.

All capitalized terms used but not defined herein will have the meanings assigned to them in the Agreement. This Addendum may be updated from time to time by Panzura in its sole discretion provided that such updates will not materially reduce the security of the Software provided to Customer by Panzura.

This Security Addendum sets forth the security controls and standards maintained by insightsoftware (“Security Program”). insightsoftware regularly tests and evaluates its Security Program, and may review and update its Security Program as well as this Security Addendum, provided, however, that such updates shall be designed to enhance and not materially diminish the Security Program.

This Security Addendum is incorporated into and made a part of the Base Agreement between DCC and Customer for the China Service (together with all expressly incorporated addenda, policies, exhibits, attachments, Order Forms, and other terms, the “Agreement”). All capitalized terms used but not defined in this Security Addendum have the meanings set forth in the Base Agreement. In the event of any conflict between this Security Addendum and any other terms of the Agreement, this Security Addendum will govern to the extent of that conflict with respect to the subject matter herein.
