This Senior Secured Convertible Loan Agreement, dated as of the date first written above (this “Agreement”), entered into by and among MM OS Holdings, L.P. (“Lender”), Morgenesis LLC, a Delaware limited liability company (“Borrower”) and Orgenesis Inc., a Nevada corporation (“Holdings”).
