THIS SERIES A PREFERRED SHARE AND NOTE PURCHASE AGREEMENT (this “Agreement”) is made as of the 22nd day of April, 2008 by and among Ydon Holdings Ltd., a British Virgin Islands Business Company having its registered office at Equity Trust (BVI) Limited, Palm Grove House, P.O.
