This Amendment (the “Amendment”) is made as of June 11, 2008, and effective the later of June 23, 2008 or the closing of the reorganization of certain portfolios of Nationwide Mutual Funds into the Aberdeen Funds (the “Effective Date”) among Aberdeen Funds (the “Company”), a Delaware statutory trust, Aberdeen Asset Management, Inc.
