(this “Amendment”), is to the SERVICING AGREEMENT listed on Schedule I hereto (as supplemented or otherwise modified from time to time, the “Servicing Agreement”), the ADMINISTRATION AGREEMENT listed on Schedule II hereto (as supplemented or otherwise modified from time to time, the “Administration Agreement”) and the INDENTURE listed on Schedule III hereto (as supplemented or otherwise modified from time to time, the “Indenture” and, together with the Servicing Agreement and the Administration Agreement, the “Agreements”), with respect to the SLC Student Loan Trust 2009-1 (the “Trust”).
