THIS AGREEMENT (the “Agreement”) is made as of this 17th day of August, 2007 (the “Effective Date”) by and between NetRatings, Inc., a Delaware corporation, with offices at 770 Broadway, New York, NY 10003 (“NetRatings”), on the one hand, and Visual Sciences, Inc., formerly known as WebSideStory, Inc., a Delaware corporation, with offices at 10182 Telesis Court, San Diego, CA 92121 (“VSI/WSS”), on the other hand (NetRatings and VSI/WSS collectively, the “Parties”).

This Settlement and Patent Cross License Agreement (“Agreement”) is entered into as of the date of execution by both parties thereto (“Effective Date”) by and between Standard Innovation Corporation, a Canadian corporation, having an office at Suite 310, 1130 Morrison Drive, Ottawa, Ontario, Canada, K2H 9N6 (“SIC”), and LELO, Inc., a California corporation, having an office at Suite 205, 4320 Stevens Creek Blvd., San Jose, CA, 95129, (“LELO”) (each of SIC and LELO being a “Party” and together the “Parties”), together with members of their respective Company Groups (as defined below) who become parties to this Agreement pursuant to Section 9(p) hereof.
