(hereinafter, the “Borrower”), having its registered office in Madrid at Paseo de la Castellana, 83-85 and tax registration code (“CIF”) B-84791516, duly authorised to execute this Agreement by a deed of incorporation and appointment of directors executed before the Madrid civil law notary Mr Ignacio Martinez-Echevarria y Ortega on 1 August 2006 under protocol number 1379;
