DDR Corp., an Ohio corporation (the “Company”), has granted to (the “Participant”), ( ) Absolute Performance Award Shares[ and ( ) Relative Performance Award Shares] (for purposes of this 2013 Value Sharing Equity Program Award Agreement (the “Agreement”), these Absolute Performance Award Shares[ and these Relative Performance Award Shares, collectively,] are referred to as the “Earned Shares”) pursuant to the Company’s (the “Plan”) and the Company’s 2013 Value Sharing Equity Program (the “Program”).
