This shopping agreement (the "Agreement") is entered into as of , 2021 (the "Effective Date") between George Morrison Family Partnership ("Morrison Estate"), L.P, Courson Family Enterprises (Courson Estate) ( ), collectively referred to as (“CME”) and Reptile Holdings LLC (“RH”) (Parties) with respect to the pitching, development and possible production of a Scripted Episodic Series, Location Based Entertainment Activation (“LBE”) and Augmented Reality Game (“ARG”) currently titled "An American Prayer" (the "Project"). For good and valuable consideration, the parties agree as follows:
