This Software as a Service and Professional Services Agreement (“Agreement”) is entered into this ______ day of ______, 201_ (“Effective Date”) by and between [name of Vendor], a [entity type (e.g., limited liability company, limited liability partnership, or corporation)] registered in the State of [State of registration (e.g., Delaware)], with its principal place of business at [address of Vendor’s principal place of business] (“Vendor”) and the State of Iowa, acting by and through the Office of the Chief Information Officer (“State of Iowa” or “State”) for the provision of services and other deliverables in accordance with the following terms and conditions. When used herein, the term “Agreement” includes the body of this Agreement and any and all Statements of Work entered into by the Parties (as defined below) and all exhibits attached hereto. Vendor and the State of Iowa may be referred to in this Agreement individually as a “Party” and together as the “Parties.”
