THIS SOFTWARE LICENSE SUBSCRIPTION AGREEMENT & SERVICE TERMS AND CONDITIONS OF APERSONA INC. ("APERSONA") AND THE APERSONA TECHNICAL SUPPORT SERVICES ADDENDUM, TOGETHER WITH THE SUBSCRIPTION AGREEMENT ADDENDUM (COLLECTIVELY, THIS "AGREEMENT") SHALL CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND APERSONA CONCERNING YOUR USE OF THE SERVICE AND SOFTWARE. BY ORDERING OR OTHERWISE USING THE SERVICE OR SOFTWARE, YOU AGREE TO AND ACCEPT THIS AGREEMENT. BY DOWNLOADING, INSTALLING, COPYING, ACCESSING, OR USING THIS SOFTWARE YOU AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF ANOTHER PERSON OR A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE FULL AUTHORITY TO BIND THAT PERSON, COMPANY, OR LEGAL ENTITY TO THESE TERMS.YOU MAY USE THE SERVICE ONLY IN ACCORDANCE WITH THIS AGREEMENT. This Software License Subscription Agreement (this “Agreement”) is made and entered into as of the time and date at which you execute the click-through acceptance of its terms (the “Effective Date”). This is a legal agreement between you and Samsung SDS America, Inc. (“SDSA”) that governs the use of the Software and its related Documentation. By clicking the “Accept” button or checking the “Accept” box when purchasing a license to the Software through the Amazon Web Services Marketplace or during the installation process, or by downloading, installing, copying, or otherwise using the Software or Documentation, you agree to be bound by the terms of this Agreement.
