This Solar Energy Power Purchase Agreement (“Agreement”) is made and entered into as of August 22, 2017 (the “Effective Date”), by and between the Town of Taos, New Mexico, a municipality duly incorporated in accordance with the New Mexico Municipal Code, NMSA 1978, § 3-1-1 et seq., (hereinafter “System Owner”), and Kit Carson Electric Cooperative, Inc., a New Mexico corporation organized in accordance with the New Mexico Rural Electric Cooperative Act, NMSA 1978, § 62-15-1 et seq., (hereinafter “Purchaser”). Each of System Owner and Purchaser shall sometimes be referred to herein as a “Party” and together, as the “Parties.”
