EXHIBIT 10.1 SOLID WASTE DISPOSAL AGREEMENT THIS AGREEMENT is made this 3rd day of October, 2005, by and between Waste Corporation of America, LLC, a Delaware limited liability company (hereinafter referred to as “Customer”), and WCA Waste Corporation, a Delaware corporation (hereinafter referred to as “WCA”), for the disposal of Customer’s non-hazardous construction and demolition debris. For purposes of this Agreement, references to “Customer” shall include each of Customer’s subsidiaries that owns or operates a transfer station in the State of Florida and references to WCA shall include each of WCA’s subsidiaries that owns a landfill in the State of Florida. Attached hereto for your consideration is a proposed letter agreement with Polk County for disposal rates at the landfill. In 2008, the City and County entered into an agreement that provided a substantial discount to the City of Lakeland for tipping fees at the North County Landfill. The term of the Agreement was for 10 years and is set to expire on September 30, 2018, and was intended to protect the City from projected cost increases for an extended period of time.
