This Special Private Placement Agreement (this "Agreement"), dated as of 7 February 2013, by and among NEW FUEL SYSTEMS INC, a company formed and existing under the laws of CANADA (the “Company”) and Lambert Private Equity LLC a company formed under the laws of the USA (the “Purchaser”).
