This Special Sub-Servicing Agreement (this “Agreement”) among Countrywide Home Loans, Inc. (“CHL”), Countrywide Home Loans Servicing LP (“CSLP” and, together with CHL, the “Company”), Sunfish Mortgage Fund Ltd. (“Sunfish”), Credit-Based Asset Servicing and Securitization LLC (“C-BASS” and, together with Sunfish, as holders of the Residual Certificates identified on Schedule I, the “Residual Holder”) and Litton Loan Servicing LP, an affiliate of C-BASS, as special Sub-Servicer (the “Special Sub-Servicer”) shall be effective as of March 1, 2005.
