This Speedway Development Agreement (this “Agreement”) by and among The Metropolitan Government of Nashville and Davidson County (the “Metropolitan Government”), acting by and through the Metropolitan Fair Board of Commissioners (the “Fair Board”), and Bristol Motor Speedway, LLC, a Tennessee limited liability company (“Bristol”), is entered into this day of , 2023 (the “Effective Date”). The Metropolitan Government and Bristol collectively are referred to herein as the “Parties” and individually as a “Party.” This Agreement is attached to and made a part of that certain Speedway Lease Agreement (the “Speedway Lease”) between the Fair Board and Bristol, dated as of the date hereof. In the event of a conflict between any provision of the Speedway Lease and this Agreement prior to Completion of the Speedway, the terms and provisions of this Agreement shall govern and control.
