The Term Sheet sets forth basic terms of a proposed transaction to develop a stadium (“Stadium”) located in the City of Santa Clara that would be the home field of the San Francisco 49ers NFL franchise.

Agreement (“Development Agreement”), which was entered into on October 3, 2013, between the Minnesota Sports Facilities Authority (“MSFA”) and Minnesota Vikings Football, LLC (“Vikings”). The Development Agreement establishes the terms under which the development and construction of the Stadium and Stadium Infrastructure will be handled by both the MSFA and the Vikings and follows 2012 Minnesota Laws, Chapter 299, which provides that the design, development and construction of the Stadium and the Stadium Infrastructure will be a collaborative process between the MSFA and Minnesota Vikings.
