As a material inducement for Thomas M. Hanley (“Executive”) to enter into the employment agreement dated April 19, 2010 (the “Employment Agreement”), by and between ExpressJet Holdings, Inc., a Delaware corporation (the “Company”) and Executive, the Compensation Committee of the Company’s Board of Directors (the “Committee”) hereby grants Executive the right to acquire restricted common stock of the Company (the “Award”) from its treasury, subject to the terms and conditions of this Stand-Alone Restricted Stock Award Agreement (the “Agreement”).
