Subject to the terms and conditions of this Notice of Award (this ”Notice”), and the attached Flotek Industries, Inc. Stand-Alone Restricted Stock Unit Award Agreement (the ”Award Agreement”), Flotek Industries, Inc. (the “Company”) hereby grants to John Gibson (the ”Participant”), as a material inducement for him to take employment with the Company, the number of Restricted Stock Units (the “RSUs”) set forth below.
