This ON24 Standard Contractual Clauses Addendum (this “SCC Addendum”) between Client (defined below) and ON24, Inc., a Delaware corporation with its principal office at 50 Beale St., 8th Floor, San Francisco, CA 94105, on behalf of itself and its Affiliates (“ON24”), effective as of July 16, 2020 (the “Effective Date”), is hereby incorporated into and forms a part of the ON24 Universal Terms and Conditions, and any Master Services Agreement, Data Protection Agreement or Addendum, Subscription Agreement, Services Agreement, Work Order, and any other written or electronic agreement between ON24 and Client related to Client’s purchase of Services and ON24’s provision of the same, and any amendments thereto (collectively, the “Agreement,” which also includes any amendments hereto). This Addendum sets forth the understanding between West Technology Group, LLC (“West”) and/or its applicable affiliates (“West”) and the undersigned customer (“Customer”) with respect to the existing Data Processing Agreement; Master Service Agreement; or similar contract as otherwise titled, as applicable, between the parties. The applicable contract is referred to herein as the “Agreement”. This Addendum is effective as of the last date signed below (“Effective Date”) and is incorporated into the Agreement by reference for the international transfer of personal data under the General Data Protection Regulation (“GDPR”). In the event of any conflict between this Addendum and the Agreement, the terms of this Addendum will govern. The rights and obligations contained in this Addendum will survive any assignment, transfer, conveyance, other disposition or forfeiture of rights of the Agreement. The parties agree as follows:
