This Standard Maintenance Agreement ("SMA") is between the customer named below ("Customer") and Omicron Development LLC ("Omicron"), a limited liability company whose principal place of business is at 2009 Old Cuthbert Rd, Cherry Hill, New Jersey. Maintenance provided herein will be delivered from Omicron’s offices and consists of technical support, incident resolution, technical training and/or system performance assistance, as may be more specifically described in a written definition of work mutually agreed by the parties.

This Standard Maintenance Agreement (this “Agreement”) is made by and between Ovation Data Services, Inc., a Texas corporation (“OVATIONDATA”), and the entity (“Customer”) identified on Exhibit A: Service Support Plan (“Service Support Plan” or “SSP”), attached hereto. OVATIONDATA and CUSTOMER are each individually a “Party” and collectively the “Parties.” This agreement in no way supersedes the existing DIR Contract, DIR- TSO-3154, and should be read in conjunction with it.
