(the “Corporation”) has granted you (the “Eligible Director” or “you”) a Nonstatutory Stock Option (the “Option”) to purchase the number of shares of the Corporation’s Common Stock at the exercise price per share set forth below. The Option is subject to the terms and conditions as set forth in this Stock Options Grant Notice and Option Agreement (this “Agreement”), the Notice of Exercise attached hereto, and the Plan, which is incorporated by reference herein in its entirety.
