EX-99.1 2 v167548_ex99-1.htm EXHIBIT 99.1 Stock Purchase Agreement This Agreement (this “Agreement”) is made and entered into on this 16th day of September, 2009 (the “Effective Date”), between Liaoning GaoKe Energy Group Company Limited, (“GaoKe”) a company incorporated under the laws of China and having its registered office at No.44 Tiexi District Jingxiang North Street Shenyang City, China; and EVATECH Co. Ltd (“Evatech”), a company incorporated under the laws of Japan and having its registered office at 188 ouchi Kumiyama-cho Kuze-gun, Kyoto, Japan. GaoKe and Evatech shall hereinafter be individually referred to as a “Party” and collectively as the “Parties”. RECITALS: Whereas Evatech is currently under going civil rehabilitation proceedings at Kyoto District Court, Japan (the “Rehabilitation Proceedings”), pursuant to which it is required to prepare a recovery plan to be approved under Article 2(3)) of the Civil Rehabilitation Act (“Recovery Plan”). THIS AGREEMENT (this "Agreement"), entered into as of the 11th day of November, 2007, is made by and between Oren Rozenberg (hereinafter the "SELLER") and Rocky Global Enterprises Ltd. and Beaux Beaux Partnership (hereinafter the "BUYERS"). WHEREAS, the SELLER desires to sell to the BUYERS and the BUYERS wish to purchase and acquire from the SELLER 1,934,250 shares of capital stock of Global Advance Corp., (hereinafter referred to as "GADV") pursuant to the terms and conditions of this Agreement. NOW, THEREFORE, in consideration of the representations, warranties and agreements set forth herein, the parties hereto hereby agree as follows:
