This STOCK PURCHASE AND ASSIGNMENT AGREEMENT (the “Agreement”), dated March 28, 2011, is entered into by and among BECTON, DICKINSON AND COMPANY, a New Jersey corporation (“BD”), PROGENITOR CELL THERAPY, LLC., a Delaware limited liability corporation (“PCT”) and ATHELOS CORPORATION, a Delaware corporation (the “Company”).
