This Student Loan Purchase Agreement (this “Agreement”), dated as of May 13, 2009 (the “Closing Date”), among NATIONAL EDUCATION LOAN NETWORK, INC., a Nevada corporation (in such capacity, the “Seller”), UNION BANK AND TRUST COMPANY, a Nebraska banking corporation, not in its individual capacity but solely as eligible lender trustee for the benefit of the Seller and its assigns (in such capacity, the “Seller ELT” and together with the Seller, the “Seller Parties”), NELNET SUPERCONDUIT FUNDING, LLC, a Delaware limited liability company (the “Purchaser”), and ZIONS FIRST NATIONAL BANK, a national banking association, not in its individual capacity but solely as eligible lender trustee for the benefit of the Purchaser and its assigns (in such capacity, the “Purchaser ELT” and together with the Purchaser, the “Purchaser Parties”), shall be effective upon execution by the parties hereto.
