We, Sanders Morris Harris, Inc., (“Placement Agent”) serve as the placement agent for The Endowment TEI Fund, L.P., a limited partnership organized under the laws of the State of Delaware (the “Fund”) pursuant to a letter agreement dated as of March 17, 2005 (the “Placement Agency Agreement”).
