Sublicense Agreement Contrato de Sublicenciamento This agreement (“Agreement”), is made by and between HASHDEX ASSET MANAGEMENT LTD.(“Licensee”), a company organized in accordance with the laws of the Grand Cayman Islands, headquartered at Ugland House, Grand Cayman, KY1-1104, Cayman Islands and who is a Licensee of Nasdaq, Inc. (“Nasdaq”), a Delaware Corporation whose principal offices are located at One Liberty Plaza, 165 Broadway, New York, NY 10006 and HASHDEX GESTORA DERECURSOS LTDA. (“Sub-Licensee” or “Fund’s Investment Manager”), a limited liability company whose principal offices are located at the city of Rio de Janeiro, state of Rio de Janeiro, at Praia de Botafogo, 501, block 1, Suite 701, CEP 22250-040 , enrolled with the National Registry of Legal Entities of the Ministry of Economy under No. 30.056.796/0001-65, duly authorized by the Brazilian Securities Commission (Comissão de Valores Mobiliários – CVM) to manage securities portfolios under CVM Declaratory Act No.16.481
